These Terms of Use (“Terms”) govern your access to and use of EyeQ Learning, the online continuing education platform operated by Eye Care Edge Inc. (“Eye Care Edge,” “we,” “our,” or “us”), accessible at eyecareedge.com/ece-eyeq (the “Platform”). Please read these Terms carefully before registering or using the Platform.

By creating an account or accessing any content on the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.

1. Eligibility

EyeQ Learning is intended for licensed or registered eye care professionals and adults working in related professional roles, including optometrists, opticians, ophthalmic technicians, and practice managers. By using the Platform, you represent that:

• You are at least 18 years of age
• You are a current or aspiring eye care professional
• You have the authority to enter into a binding agreement
• Your use of the Platform will comply with all applicable laws and regulations

Eye Care Edge reserves the right to verify your professional credentials and to suspend or terminate access if eligibility requirements are not met.

2. Account Registration

To access courses and earn CE credits, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information as needed
• Keep your login credentials confidential and not share them with any other person
• Notify us immediately at eceacademy@eyecareedge.ca if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account. Eye Care Edge is not liable for any loss or damage arising from your failure to safeguard your credentials.

Accounts are for individual use only. Sharing an account or login credentials with another person, including within the same practice, is not permitted under these Terms.

3. Courses, Access, and CE Credits

3.1 Course Access

Upon purchase, you will receive access to your selected course(s) for a period of one (1) year from the date of purchase. After this period, access to the course content will expire. Eye Care Edge does not guarantee that course content will remain unchanged during your access period, though we will make reasonable efforts to maintain quality and accuracy.

3.2 Continuing Education Credits

EyeQ Learning courses are developed in collaboration with, and vetted by, the Canadian Association of Optometrists (CAO) and the American Optometric Association (AOA). CE credits earned through the Platform are subject to the eligibility requirements and acceptance policies of the relevant accrediting body and your provincial or state licensing authority.

Eye Care Edge does not guarantee that CE credits will be accepted by any specific licensing board. It is your responsibility to confirm that a course satisfies your particular CE requirements before purchasing.

3.3 Completion Requirements

To earn CE credits and receive a certificate of completion, you must complete all required course modules and any assessments or quizzes as specified within the course. Partial completion does not qualify for CE credit issuance.

4. Fees, Payment, and Refunds

4.1 Pricing

Course fees are listed in Canadian dollars (CAD) unless otherwise stated. Prices are subject to change without notice. Any applicable taxes (including GST/HST) will be added at checkout as required by law.

4.2 Payment

Payment is processed securely through our third-party payment processor. By completing a purchase, you authorize Eye Care Edge to charge the applicable fees to your selected payment method. Eye Care Edge does not store full payment card details.

4.3 Refunds

Due to the digital nature of our course content, all sales are final once you have accessed the course material. If you have purchased a course but have not yet accessed any content, you may request a full refund within seven (7) days of purchase by contacting us at eceacademy@eyecareedge.ca.

If you experience a technical issue that prevents you from accessing course content, please contact us and we will work to resolve the issue or provide appropriate accommodation.

5. Intellectual Property

5.1 Platform Content

All content on the Platform, including but not limited to course videos, written materials, assessments, graphics, logos, and the EyeQ Learning and Eye Care Edge branding (collectively, “Content”), is the property of Eye Care Edge Inc. or its content partners and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

5.2 Permitted Use

Your purchase grants you a limited, personal, non-transferable, non-exclusive licence to access and view course Content for your own professional development purposes during your access period. You may not:

• Download, copy, reproduce, or distribute any Content without prior written consent
• Record, screenshot, or capture course video or audio in any form
• Share, sublicense, resell, or make Content available to any third party
• Use Content for commercial purposes, training programs, or presentations without written authorization
• Remove or alter any copyright, trademark, or proprietary notices

5.3 User Submissions

If you submit feedback, comments, or suggestions to Eye Care Edge, you grant us a non-exclusive, royalty-free, perpetual licence to use, reproduce, and incorporate your submission into the Platform or related materials without compensation or attribution to you.

6. Prohibited Conduct

When using the Platform, you agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Use automated tools, bots, or scrapers to access or extract Content
• Impersonate any person or entity, or misrepresent your professional credentials
• Interfere with the proper functioning of the Platform
• Upload or transmit viruses, malware, or any harmful code
• Engage in any conduct that is harassing, defamatory, or harmful to other users or Eye Care Edge

Eye Care Edge reserves the right to suspend or terminate your account without notice if you violate any of these prohibitions.

7. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

Eye Care Edge does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Course content is intended for general professional education purposes and does not constitute medical, clinical, or legal advice. Eye care professionals remain solely responsible for clinical decisions made in their practice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EYE CARE EDGE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTENT PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF CE CREDITS.

IN NO EVENT SHALL EYE CARE EDGE’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO EYE CARE EDGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full.

9. Indemnification

You agree to indemnify, defend, and hold harmless Eye Care Edge Inc. and its affiliates, officers, employees, and content partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

10. Third-Party Links and Services

The Platform may contain links to third-party websites or reference third-party services. These links are provided for convenience only. Eye Care Edge does not endorse or assume any responsibility for third-party content, products, or services. Your use of any third-party site is at your own risk and subject to that site’s terms and privacy policy.

11. Modifications to the Platform and These Terms

11.1 Platform Changes

Eye Care Edge reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

11.2 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Platform prior to the changes taking effect. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically. The current version will always be available on the Platform.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Platform that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Alberta, Canada. If you are a US-based user, you consent to jurisdiction in Alberta for the purposes of resolving any such dispute.

Before initiating any formal legal proceedings, you agree to first contact Eye Care Edge at eceacademy@eyecareedge.ca and make a good-faith effort to resolve the dispute informally within thirty (30) days.

13. Termination

Eye Care Edge may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately.

You may terminate your account at any time by contacting us at eceacademy@eyecareedge.ca. Termination does not entitle you to a refund of any fees paid, except as described in Section 4.3.

Sections 5 (Intellectual Property), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Indemnification), and 12 (Governing Law) survive termination of these Terms.

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Eye Care Edge regarding your use of the Platform.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Waiver: Eye Care Edge’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without prior written consent from Eye Care Edge. Eye Care Edge may assign its rights and obligations without restriction.
• Language: These Terms are provided in English. To the extent required by Quebec law, a French version may be made available upon request.
